Company Information Amendment

As your business evolves, changes to your company’s registered information may become necessary. Whether it’s updating your director lineup, modifying shareholder structure, changing your registered office address, adjusting authorized capital, or amending the Articles of Association, these changes must be properly documented and filed with the Department of Business Development (DBD) to remain legally valid.

Under Thai law, most company amendments require formal approval through a Board of Directors meeting and/or a shareholders’ meeting, depending on the nature of the change. Once approved, the relevant documents must be submitted to the DBD within 14 days. Amendments to the Articles of Association require a special resolution supported by at least 75% of attending shareholders’ votes.

In 2026, the DBD has introduced additional scrutiny for amendments involving foreign participation. Starting April 2026, companies making changes that result in a foreigner becoming an authorized signatory or director must comply with mandatory in-person verification requirements. Thai shareholders and directors may also be required to provide financial evidence and sworn declarations during the amendment process.
